Audit and Risk Committee (“ARC”)

The Audit and Risk Committee (“ARC”), chaired by Low Suk Ling with members Charles Cade and Edphawin Jetjirawat, meets at least three times annually, or more frequently as needed. The ARC oversees the integrity of the Investment Manager’s financial reporting and statements, ensuring accuracy and addressing significant financial issues. It monitors the Investment Manager’s compliance with regulatory requirements, internal controls, and audit processes, including evaluating external auditor independence and performance. Additionally, the ARC manages conflicts of interest, reviews internal audits, oversees the whistleblowing policy, and assesses the Investment Manager’s risk strategy, including investment, operational, sustainability, and business continuity risks. The committee ensures that ESG practices, including climate change-related risks, are reviewed, focusing on key performance indicators (KPIs). Climate risks are specifically assessed quarterly, including a review of the top five companies with the highest physical climate value at risk and benchmarking transition risks against local and emerging market standards.
