The Management Engagement Committee (“MEC”), chaired by Charles Cade with members Simon Davies, Low Suk Ling and Edphawin Jetjirawat, meets at least annually, or more frequently as needed. The MEC’s primary responsibility is to monitor and evaluate the Investment Manager’s performance, ensuring compliance with the Investment Management Agreement. The committee conducts an annual review of the Agreement’s terms, confirming they align with current market and industry practices and remain in the best interests of shareholders. Based on this review, the MEC recommends any necessary or desirable changes to the Agreement’s terms to the Board.
